1. Acceptance of Terms
By accessing or using any website, platform, application, or service (collectively, "Services") operated by IAXOV Inc. ("IAXOV," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use our Services. These Terms apply to informational websites and publicly accessible Services. Use of IAXOV platform products deployed by organizational clients is governed by separate client-specific agreements between IAXOV and the deploying organization.
2. Description of Services
IAXOV provides intelligence sovereignty and automation services, including AI-powered platforms for governance, assessment, strategic planning, and related enterprise applications. Our Services include websites, marketing materials, publications, interactive tools, APIs, and platform interfaces. The specific features and capabilities available to you depend on the context in which you access our Services and any applicable agreements with your organization.
3. Permitted Use
You may use our Services for the following lawful purposes:
- Evaluating our platforms and capabilities
- Accessing published research, thought leadership, and resources
- Submitting inquiries, demo requests, and contact information
- Interacting with platform features made available to you by your organization
- Any other use expressly authorized by IAXOV or by a client-specific agreement
4. Prohibited Conduct
You may not, and agree not to:
- Reverse engineer, decompile, or disassemble any part of our Services, including but not limited to our AI models, algorithms, governance frameworks, rubric-orchestration systems, or proprietary processes
- Tamper with, circumvent, or probe security measures, access controls, authentication mechanisms, or data protection systems
- Access or attempt to access systems, data, or accounts not intended for you, including through automated means (bots, scrapers, crawlers) unless expressly permitted
- Misrepresent your identity or impersonate any person or organization
- Use our Services for any unlawful purpose or in violation of any applicable law or regulation
- Interfere with or disrupt the operation of our Services, servers, or networks
- Reproduce, distribute, or create derivative works from our content, publications, or platform outputs except as expressly permitted
- Attempt to extract, harvest, or derive our proprietary models, training data, governance rules, or assessment rubrics through any means
5. Intellectual Property
All content, software, technology, trademarks, trade names, logos, designs, documentation, and other materials available through our Services are the property of IAXOV Inc. or its licensors and are protected by Canadian and international intellectual property laws. IAXOV, Legion, STRATEVITA, UNIFYZE, and associated logos and marks are trademarks of IAXOV Inc. No license, right, or interest in any intellectual property is granted except the limited right to access and use the Services as expressly permitted by these Terms.
6. User-Submitted Content
When you submit information through our Services (including forms, assessments, uploads, or communications), you grant IAXOV a non-exclusive, worldwide license to use, process, store, and transmit that information as necessary to provide our Services and as described in our Privacy Policy. You represent that you have the right to submit such information and that it does not infringe on the rights of any third party. User-generated content is handled in accordance with our Privacy Policy, including the 30-day retention period following deletion requests.
7. Client Application Services
IAXOV provides platform services to organizational clients who deploy our technology for their stakeholders. When you access IAXOV-powered applications through a client organization, your use is governed by that organization's terms of service and policies in addition to these Terms. The deploying organization is responsible for obtaining appropriate consents and providing notice to their users. Any conflicts between these Terms and a client-specific agreement are resolved in favor of the client-specific agreement for the scope of that deployment.
8. Third-Party Services and Links
Our Services may contain links to third-party websites, integrate with third-party services, or transmit data to third-party processors. We are not responsible for the content, terms, privacy practices, or availability of third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.
9. Disclaimer of Warranties
Our Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, IAXOV disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We employ industry best practices as current at the time of implementation to ensure the security, privacy, and reliability of our Services, but we do not guarantee uninterrupted, error-free, or completely secure operation. Information provided through our Services, including AI-generated outputs, assessments, and analytical results, is provided for informational purposes and should not be the sole basis for any decision without appropriate human review.
10. Limitation of Liability
To the maximum extent permitted by applicable law, IAXOV Inc., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising from or related to your use of or inability to use our Services, regardless of the theory of liability. Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amounts you have paid to IAXOV in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
11. Indemnification
You agree to indemnify, defend, and hold harmless IAXOV Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the federal laws of Canada and the laws of the Province of Alberta, without regard to conflict of law principles. IAXOV Inc. is a federally incorporated Canadian corporation. Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration administered in Calgary, Alberta, Canada, in accordance with the rules of the ADR Institute of Canada. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against IAXOV.
13. Security and Compliance Posture
IAXOV designs and operates its platforms in adherence with the practices and controls of SOC 2 Type 2, ISO 27001, ISO 42001, and ISO 9001 frameworks. Our systems are certification-ready by default. Specific certifications are obtained as part of individual client deployments at the client's election and expense. We do not represent or warrant that our Services hold any particular certification unless explicitly stated in a client-specific agreement.
14. Modifications to Terms
We may modify these Terms at any time by posting the revised version on this page with an updated effective date. Material changes will be communicated through our Services or by other appropriate means. Your continued use of our Services after the effective date of any modifications constitutes acceptance of the revised Terms.
15. Termination
We reserve the right to suspend or terminate your access to our Services at any time, with or without cause or notice, if we believe you have violated these Terms or if continued access poses a risk to our Services, our users, or any third party. Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) shall survive.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and IAXOV Inc. regarding your use of our public Services. These Terms do not supersede any client-specific agreements between IAXOV and organizational clients.
